By browsing this website, purchasing a product via our WooCommerce store, or signing a Statement of Work (SOW) with us, you (“the Client” or “User”) agree to be bound by these terms in their entirety. If you do not agree with any part of these terms, you must immediately cease use of our website and services. These terms constitute a legally binding agreement between you and Jamsin Quantum Innovations Limited. We reserve the right to update, modify, or replace these Terms and Conditions at any time without prior notice, and it remains your responsibility to review this page periodically for changes.
2. Intellectual Property and Ownership Rights

- Agency IP: All content, designs, text, graphics, logos, and software code present on jamsin.com are the exclusive intellectual property of Jamsin Quantum Innovations Limited and are protected by international copyright laws. - Client Deliverables: Upon the successful completion of a project and the receipt of full and final payment, Jamsin Quantum Innovations Limited transfers the ownership rights of the final, agreed-upon deliverables (e.g., final logo files, live website code, finalized ad copy) to the Client.
- Working Files: Please note that raw, native working files (such as Adobe Illustrator .ai, Photoshop .psd, or Figma source files) remain the property of Jamsin Quantum Innovations Limited unless otherwise specified and purchased in a separate intellectual property buyout agreement. We retain the perpetual right to display any completed work in our agency portfolio and marketing materials.
3. User Responsibilities and Client Obligations
A successful agency-client relationship requires active cooperation. To ensure we can deliver our services effectively, you agree to:
- Provide timely, accurate, and comprehensive feedback during design and marketing approval phases. Delays in client feedback directly result in project timeline delays, for which Jamsin Quantum Innovations Limited cannot be held responsible.
- Supply all necessary materials, such as brand assets, high-resolution imagery, and specific copywriting (unless content creation is explicitly included in your service package), in a timely manner.
- Ensure that any materials you provide to us do not infringe upon the copyrights, trademarks, or intellectual property rights of any third party. You agree to indemnify and hold Jamsin Quantum Innovations Limited harmless against any legal claims arising from materials you have supplied.
- Maintain the confidentiality of any passwords or account access provided to you regarding your project portals or website backend.
4. Payment Terms, Invoicing, and Default
All prices listed on jamsin.com are in standard currency (USD unless otherwise noted) and are subject to change. For custom projects, payment schedules will be clearly outlined in your individual SOW.
- Standard Terms: Invoices are strictly due upon receipt unless a Net-15 or Net-30 agreement is specifically negotiated in writing.
- Late Fees: Jamsin Quantum Innovations Limited reserves the right to apply a late fee of 1.5% per month (or the maximum allowed by law) on any outstanding balances that exceed 15 days past the due date.
- Suspension of Service: We reserve the right to pause all active work, suspend marketing campaigns, or take down hosted websites if accounts fall severely into arrears. Work will only resume once the account is brought current, and a remobilization fee may apply.
5. Limitation of Liability and Warranties
Jamsin Quantum Innovations Limited provides its digital services and website on an “as is” and “as available” basis. While we strive for absolute excellence, we make no representations or warranties of any kind, express or implied, regarding the uninterrupted operation of our website, or the specific commercial outcomes of our marketing efforts. To the fullest extent permitted by applicable law, Jamsin Quantum Innovations Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of our services. In no event shall our total aggregate liability to you for any claims exceed the total amount paid by you to Jamsin Quantum Innovations Limited in the three (3) months preceding the event giving rise to the claim.
